These Terms of Service (the "Terms") govern your access to and use of the website located at powercityspaces.com and the workspace, mail, phone, reception, and related services offered by Power City Spaces. By using the website, purchasing a service, or clicking to accept these Terms at checkout, you agree to be bound by them. If you purchase a virtual office or mailbox service, the separate Virtual Office & Mailbox Agreement also applies and is incorporated by reference.

1. Who we are

"Power City Spaces," "we," "us," and "our" refer to Power City Spaces, located at 225 Old Falls Street, Niagara Falls, NY 14303, United States. "You" and "your" refer to the individual or business entity using our website or services. You can reach us at hello@powercityspaces.com or (716) 402-1990.

2. Eligibility & accounts

You must be at least 18 years old and able to form a binding contract to use our services. If you accept these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity. You agree to provide accurate, current, and complete information when registering, booking, or purchasing, and to keep it up to date. You are responsible for activity that occurs under your account or membership.

3. The services

We provide flexible workspace and business-presence services at 225 Old Falls Street, Niagara Falls, NY, which may include: coworking day passes and hot desks; private offices and suites; meeting-room rentals; virtual office and US mailbox services; dedicated US phone numbers; and on-site receptionist services (collectively, the "Services"). The specific features, inclusions, and prices of each Service are described on our website and, where applicable, in a separate service agreement or order. We may add, modify, or discontinue Services or features from time to time.

4. Bookings & day passes

Day passes, hot desks, and meeting rooms may be booked and paid for online. Bookings are confirmed only once payment is received. Meeting rooms are subject to a two-hour minimum and are available during staffed hours (Monday–Friday, 9:00 AM–5:00 PM EST) unless otherwise arranged. Member and non-member rates differ; you must hold an active qualifying membership to receive member pricing, and we may verify membership status. If you do not show up for a booking, the fee is non-refundable.

5. Fees, billing & renewal

Prices for the Services are listed on our website and are stated in US dollars. Recurring memberships (including virtual office, phone, and receptionist services) are billed monthly in advance through our third-party payment processor.

6. Cancellation & refunds

You may cancel a recurring membership by giving us at least thirty (30) days' written notice before your next billing date, sent to hello@powercityspaces.com. Cancellation takes effect at the end of the then-current billing cycle. Fees already paid are non-refundable, and we do not provide credits or refunds for partial months, unused bookings, or unused inclusions. Mail and packages following termination are handled as described in the Virtual Office & Mailbox Agreement.

7. Acceptable use

You agree not to use the Services or your assigned address, phone number, or facilities to:

We may refuse, suspend, or terminate Services, and may report activity to authorities, if we reasonably believe these rules have been violated.

8. Facility access & rules

Members with facility access receive keycard or comparable access credentials, which are personal to you and may not be shared. You are responsible for your guests and belongings. We are not responsible for loss of or damage to personal property left on the premises. You agree to follow posted building rules, health-and-safety requirements, and reasonable directions from staff. We may adjust staffed hours, close the facility for maintenance or events, or change access arrangements as needed.

9. Third-party services

We use third-party providers to operate parts of our business, including Stripe for card payments, Cal.com for scheduling and meeting-room bookings, and Melio for invoice payments. Your use of those services is subject to the third party's own terms and privacy practices. We are not responsible for the acts, omissions, or availability of third-party providers.

10. Cross-border & tax matters

Many of our clients are Canadian businesses establishing a US presence. You are solely responsible for determining and meeting your own legal, tax, immigration, corporate-registration, and regulatory obligations in the United States, Canada, and any other jurisdiction. Using a US business address or US phone number does not by itself create legal residency, a permanent establishment, tax nexus, or any particular legal status, and we make no representation that it will satisfy any specific legal or regulatory requirement. We do not provide legal, tax, accounting, or immigration advice. You should consult qualified professionals.

11. Intellectual property

The website, logo, brand, and content are owned by Power City Spaces or its licensors and are protected by law. We grant you a limited, non-exclusive, non-transferable license to use the website for its intended purpose. You may not copy, modify, or create derivative works from our content without written permission.

12. Disclaimers

The Services and website are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, that mail or packages will always be received, held, or forwarded without delay, loss, or damage, or that phone or internet service will be continuously available.

13. Limitation of liability

To the maximum extent permitted by law, Power City Spaces and its owners, staff, and affiliates will not be liable for any indirect, incidental, special, consequential, punitive, or multiple damages, or for lost profits, lost data, lost business, or loss of goodwill, arising out of or relating to the Services or these Terms, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or relating to the Services or these Terms will not exceed the lesser of (a) the amount you actually paid us for the applicable Service during the three (3) months before the event giving rise to the claim, or (b) US $500.00. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify, defend, and hold harmless Power City Spaces and its owners, staff, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your content or mail, your violation of these Terms or any law, or your violation of USPS or other regulations, including any failure to provide accurate identification or authorization documents.

15. Term & termination

These Terms apply while you use the website or any Service. We may suspend or terminate your access or Services at any time for violation of these Terms, non-payment, or conduct that we reasonably believe is unlawful or harmful. On termination, your right to use the Services ends; provisions that by their nature should survive (including Sections 5, 7, and 10–16) will survive.

16. Governing law & disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You agree that the state and federal courts located in Niagara County, New York have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to personal jurisdiction there. Any claim must be brought within one (1) year after it arises.

17. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date shows when. Material changes will be posted on this page and, where appropriate, notified to active members. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
